Provider and scope

These Terms govern your use of Upbiddr. Upbiddr is operated by:

Upbiddr is available to consumers and businesses internationally, subject to applicable law and actual technical availability. You must be at least 18 to create or use an account and purchase services. If you act for a business or organisation, you must be authorised to bind it. Availability of a country in a selector does not guarantee that every feature or payment method is available there.

Mandatory rights, including consumer rights, are not excluded by these Terms.

What Upbiddr provides

Upbiddr provides accounts, profiles, ranking cards, rankings, points-related features and associated presentation and discovery functions. A ranking card describes an external website, project, product, service or public presence. It is not a sale of that external offer through Upbiddr.

Upbiddr does not own, operate, fulfil, verify, endorse or guarantee an external destination merely because a user presents it. Contracts or transactions with its operator are separate from your relationship with Upbiddr. Upbiddr does not collect a ranking payment for the external operator or transfer that payment to the card owner.

Features and eligibility conditions are explained where they are offered. A description of a possible future feature does not mean that the feature is currently implemented or that it will necessarily be introduced.

Accounts and eligibility

Provide accurate information where required and keep the contact information needed for your account up to date. You may use a public display name or handle rather than your legal name, provided it is not misleading or infringing.

Protect access to your email account, sign-in messages and remembered devices. Do not share access in a way that compromises security, impersonate another person or attempt to access another account. Notify us if you suspect unauthorised access.

Do not bypass limits, access controls, payment verification, security mechanisms or moderation restrictions.

Profiles, cards and public visibility

Profiles and ranking cards have separate visibility controls. Draft and archived cards are not publicly displayed through Upbiddr. An eligible active card may remain public and may be indexed independently of the associated profile’s privacy or search-indexing settings.

Only make information public when you are entitled to do so. Public information can be viewed, shared, copied, cached or indexed by independent third parties. Removing it from Upbiddr does not guarantee removal of independent third-party copies.

Free-card eligibility, available slots and other applicable conditions are shown through the service. A paid contribution does not exempt a card from visibility requirements or these Terms.

Rankings and labels

A ranking value is a service metric used for the relevant ranking, not a quality, safety, popularity or investment rating. All-time rankings use the applicable current card value. Period rankings use eligible increases applied in the relevant UTC period. Completed period results may be shown separately.

Positions depend on the relevant list, filters, other cards and applicable rules. No particular position, minimum time at a position, search-engine treatment, traffic, customer or commercial result is promised.

A Free label currently means that the card has no applied cash contribution. A Sponsored label means it has received an applied paid contribution, whether from its owner or another member. A points-only increase does not currently change a Free card to Sponsored. Labels do not verify the destination or establish a relationship between Upbiddr and its operator.

Paid ranking value increases

A purchase is for the one-time application of the USD ranking value specified in your order to the selected eligible card after secure payment confirmation and processing. It is not the purchase of goods or services from the external destination, an investment, a transferable asset, or a guaranteed ranking position.

The applicable minimum, amount, currency, selected card and service information are shown before you order. The first paid-increase minimum applies while the card has no applied cash contribution. Later paid increases use the applicable further-increase minimum. Points alone do not count as the first paid increase.

A server-verified payment and its processing, not a browser return page alone, determine application of an increase. You can purchase an increase for your own or another member’s eligible active card. Purchasing for another member gives you no ownership, administrative access or control over the card or destination.

Payment and invoices

Payments for ranking increases are processed through Stripe Checkout. The purchase is shown and charged in USD. Your payment provider or card issuer may apply its own conversion or charges; check its information.

An invoice is created automatically through Stripe. You can access the invoice and payment confirmation from My ranking increases in your Upbiddr account. Provide the billing details you require during checkout. Your public profile name is not automatically treated as your invoice name.

The operator currently applies the German small-business exemption under section 19 UStG; the corresponding tax information is included on invoices.

Immediate performance and withdrawal

Where a statutory right of withdrawal applies, the Withdrawal Notice explains the right, how to exercise it and its consequences. Before immediate performance, the checkout requests your express agreement to performance before the withdrawal period ends and your acknowledgement of the consequences of full performance.

If the statutory requirements are met, your right of withdrawal expires when Upbiddr has fully performed the purchased service. Mandatory claims remain unaffected.

Points and rewards

Upbiddr may offer points through eligible referrals, campaign codes, point actions and other announced opportunities. Each opportunity can have its own rewards, limits and conditions. Further ways of earning points may be introduced in the future; no particular opportunity is guaranteed.

Eligible points can currently be redeemed on your own eligible active cards, under the conversion and redemption conditions shown for the feature. Variable rates and conditions are provided through the relevant feature rather than promised as a permanent fixed rate here.

Points are not cash, a payment account, a wallet or an investment. They cannot be withdrawn for money and are not freely transferable. Do not use false accounts, self-referrals, fabricated activity or other manipulation to obtain benefits. Unlawfully or improperly obtained benefits may be addressed proportionately under the applicable feature rules and mandatory law.

Possible future ranking-value maintenance

Upbiddr may introduce a ranking-value maintenance model under which a card’s ranking value decreases in small steps at recurring intervals following prolonged inactivity. Relevant factors may include a prolonged absence of account sign-ins, a prolonged absence of ranking value increases, and whether the member completes maintenance activities offered through the service. A model may combine these factors.

A ranking value is not promised to remain permanently exempt from a lawfully introduced maintenance model. This possibility applies to the service model described from launch; it does not mean that value reduction is already active.

Before activating a model, Upbiddr will explain the applicable criteria, intervals, reduction method and available maintenance activities, and provide the information, notice or agreement required by law. This section does not authorise unlawful retroactive changes or remove mandatory rights. A ranking purchase does not itself promise a permanent exemption from such a model.

Possible future premium ranking areas

Upbiddr may introduce a separate, identified ranking area for cards that reach a high ranking value. Where introduced under the applicable rules, qualifying cards may be transferred from the ordinary ranking area to that area and displayed alongside other high-value cards.

The transfer itself does not reduce the card’s ranking value or otherwise change the remaining conditions for the card. It does not create a verified status, quality certificate or guaranteed position. The applicable qualification and presentation rules will be explained before introduction, together with any notice or agreement required by law.

User content and limited permission to operate the service

You remain responsible for the information, images, names, descriptions and destinations you submit. You must have the rights and permissions necessary for the use you request, and must not misrepresent another person, organisation or destination.

You grant Upbiddr a non-exclusive permission to store, technically process, format, resize and display your submitted content to the extent necessary to operate the features and visibility you request, including corresponding public previews and share images. Necessary hosting and technical service providers may process it for those purposes. This is not a transfer of ownership or a general permission to sell your content for unrelated purposes.

The permission lasts as needed for those purposes, subject to lawful retention, outstanding obligations and independent third-party copies. Public availability remains subject to your controls and moderation.

Unlawful content, content requiring unavailable safeguards, and misuse

You must not submit, display, promote or link to content or offers where doing so is unlawful or infringes another person’s rights. The examples given in these Terms are not exhaustive.

Examples include sexual exploitation of children and other criminal sexualised depictions; criminal threats of violence, incitement to hatred and prohibited terrorist content; fraud, phishing, malware and other unlawful deception; infringements of copyright, trademark, personality, privacy or data-protection rights, including unlawful disclosure of personal information; unlawful discrimination; and unlawful offers, advertising or sales practices, including unauthorised offers of regulated goods or services.

Upbiddr also does not permit content whose publication or accessibility through Upbiddr requires age verification, a closed user group, access restrictions or other legally required safeguards that Upbiddr does not provide. This includes pornography and other material that may lawfully be made available only under such safeguards.

These restrictions also apply to images, previews, descriptions, advertising and links where their use would itself be unlawful or would bypass legally required protections.

A subject or business category is not prohibited merely because of its topic. The restriction concerns the particular content, offer, presentation or use and the legal requirements applicable to it.

These rules apply to profiles, ranking cards, images, profile links and other submission areas. Links, redirects, concealed destinations and instructions designed to circumvent the restriction are covered as well.

Do not manipulate rankings, referrals, rewards, accounts, campaigns or payment controls. Do not interfere with security or availability, send spam, impersonate others or gain unauthorised access.

Reports, restrictions and complaints

You can report concerns through the reporting options for the relevant profile, card or link and by email or the Contact page. For a notice of unlawful content, identify the location and explain why you believe it is unlawful, with the information needed to assess it and contact you where required. Do not knowingly submit false or abusive notices.

Upbiddr assesses reports and may take proportionate action under these Terms and applicable law, including restricting public content or account access. Payment does not prevent justified moderation. Where required, we provide information about the action, its reasons and available remedies, subject to lawful restrictions.

You can submit a complaint about an action using email or the Contact page, identifying the affected content or account and explaining your concern. This does not restrict statutory remedies or the jurisdiction of competent authorities and courts.

Ranking value, restriction and deletion

Ranking values and points are service metrics or benefits, not repayable deposits. Restriction, archival or deletion does not by itself create a right to cash out, transfer or redeem the recorded ranking value for money. You do not acquire control over another person’s card by paying for an increase.

This does not exclude any refund, remedy or compensation required by mandatory law, including where Upbiddr does not provide a purchased service as legally required.

You may stop using Upbiddr. The available card controls allow changes to public availability. A future self-deletion function, if introduced, will explain its consequences; these Terms do not state that such a function is already available. Data-protection requests can be submitted using the Privacy Notice contact details independently of a self-service feature.

Availability, changes and ending the service

Upbiddr may maintain, update, alter, restrict or discontinue features for legitimate reasons such as legal compliance, security, abuse prevention, technical operation, service integrity or product development, subject to applicable law and reasonable consideration of affected users.

Where required, we give advance information and provide the notice, consent, termination opportunity or other remedy required by law. We do not use this section to remove mandatory rights or make arbitrary changes to an already concluded paid transaction. Availability is not guaranteed without interruption.

Liability

Upbiddr remains liable without restriction where liability cannot lawfully be limited, including for intent and gross negligence and for culpable injury to life, body or health, and under any other applicable mandatory liability rule.

For ordinary negligence, liability for breach of an essential contractual obligation is limited, where legally permitted, to the foreseeable loss typical of the contract. An essential obligation is one whose fulfilment makes proper performance of the contract possible and on which you can normally rely. Other liability for ordinary negligence is excluded only to the extent permitted by law.

Independent external destinations, their operators and their offers remain their own responsibility. A card or link does not make their content Upbiddr’s own or amount to a guarantee. This section does not exclude Upbiddr’s own legal duties or mandatory consumer rights.

Governing law and disputes

These Terms are governed by German law. If you are a consumer, this choice does not deprive you of protection afforded by provisions that cannot be derogated from by agreement under the law that would apply without the choice, including where Article 6 of the Rome I Regulation applies.

No exclusive German place of jurisdiction is imposed on consumers by these Terms. Statutory rules determine the competent courts unless a separate lawful agreement applies. The consumer dispute resolution statement is in the Legal Notice.

The service information and these Terms are provided in English. Mandatory requirements concerning the information or language owed to a particular consumer remain unaffected.

Updates and contact

We may update these Terms to reflect legitimate legal, technical, security or product changes. Where a change requires notice, agreement or another legal step, we will provide it before applying the change to the relevant relationship. A new public version does not silently rewrite an earlier transaction record.
